How we restructured a Reading tech contractor

Client J is a senior tech consultant based in Reading, working through his own Limited Company on long-term engagements with Microsoft and a financial services client in the City. When he came to us his IR35 position had become muddied since the off-payroll rules changed, his previous accountant had continued operating the company as if nothing had changed, his pension contributions through the company were minimal despite substantial scope, and several of his expense claims were no longer appropriate.

We audited each engagement. Microsoft had moved him inside IR35 (a defensible determination based on the working pattern), but the City engagement was genuinely outside following a careful review of the SDS. We restructured the Limited Company to handle the two income streams cleanly, set up substantial employer pension contributions through the company on the outside-IR35 income using carry-forward from the previous three tax years, addressed the historic position with HMRC properly, and built a defensible documentation trail for both engagements.

Year one outcome: a defensible HMRC position that won't blow up if either client is investigated, annual tax saving of around £7,400 from cleaner structuring, a one-off catch-up pension contribution capturing Corporation Tax relief at 25 per cent, and Client J now genuinely understands his IR35 position engagement by engagement.

I contract to Microsoft, Oracle, Cisco or Three UK. How does IR35 work?
Medium and large clients (which all the major Thames Valley tech employers certainly are) make the IR35 determination through a formal Status Determination Statement. If determined inside IR35, your contract income has to be paid through PAYE with employer NI. If outside, you can still optimise normally. We'll review your specific SDS and tell you honestly whether it's defensible.
I have multiple engagements, some inside IR35 and some outside. How does that work?
Each engagement is assessed separately. Your Limited Company can have a mix of inside-IR35 and outside-IR35 work running simultaneously. The inside-IR35 income comes through net of PAYE deductions made by the fee-payer, and the outside-IR35 work is handled normally through company income, expenses, and salary/dividend extraction. We set up the bookkeeping to handle both streams cleanly.
My Reading Ltd company has substantial reserves. What are my options?
Pension contributions through the company are usually the most tax-efficient, claiming Corporation Tax relief at 19-25 per cent. A Members' Voluntary Liquidation at the eventual end of contracting can be very tax-efficient with Business Asset Disposal Relief reducing CGT to 10 per cent on the first £1 million.
